1. Definitions

2. Applicability
2.1 These terms and conditions apply to all quotations, agreements, and deliveries from Naru Core.
2.2 Deviations are only valid if both parties have confirmed them in writing.
2.3 The Client's general terms and conditions are expressly excluded.
3. Quotations and prices
3.1 Quotes are non-binding and valid for 14 days, unless otherwise stated.
3.2 Prices exclude VAT and additional costs, unless otherwise agreed.
3.3 Obvious errors in quotes, prices, or publications are not binding on Naru Core.
4. Conclusion of the agreement
4.1 The agreement is concluded as soon as the Client accepts a quotation.
4.2 Naru Core actually begins execution.
4.3 Changes to the order may lead to adjustments to the price or schedule.
5. Conclusion of the agreement
5.1 Naru Core will execute the order with care and professionalism.
5.2 The Client will provide all necessary information and cooperation in a timely manner.
5.3 Delivery times are approximate, unless otherwise agreed in writing.
6. Retention of title
6.1 All delivered products remain the property of Naru Core until full payment has been received.
6.2 The Client may not resell, pledge, or modify these goods as long as they remain the property of Naru Core.
7. Payment
7.1 Invoices must be paid within 10 days of the invoice date.
7.2 In the event of late payment, the Client is legally in default. Naru Core may then charge interest and collection costs.
7.3 The statutory maximum collection costs apply to consumers.
8. Warranty
8.1 Naru Core guarantees that the services provided meet reasonable quality standards.
8.2 Defects must be reported in writing within 14 days of discovery.
8.3 The warranty is void in the event of improper use or modifications without Naru Core's permission.
9. Complaints and investigation
9.1 Complaints must be submitted in writing within 7 days of delivery.
9.2 For consumers, a complaint period of 2 months from the date of discovery applies.
9.3 Late notification may result in forfeiture of rights.
10. Intellectual property and use
10.1 All rights to delivered designs, content, or products remain with Naru Core.
10.2 The Client is granted a non-exclusive right of use for the agreed-upon purpose.
10.3 Modifying, reproducing, or commercially exploiting the delivered work without written permission is prohibited.
11. Portability
11.1 Rights and obligations under the Agreement may not be transferred without the written consent of Naru Core.
12. Liability
12.1 Naru Core is only liable for direct damages, up to a maximum of the invoice amount or the amount reimbursed by the insurer.
12.2 Naru Core is not liable for:
- consequential damage such as loss of turnover, damage to reputation or missed opportunities;
- damage due to incorrect or incomplete information from the Client;
- damage caused by modifications to the goods supplied by third parties.
12.3 Liability shall lapse if the damage is not reported in writing within 10 days of discovery
13. Suspension and termination
13.1 Naru Core may suspend performance or terminate the Agreement in the event of:
- failure to comply with obligations (in a timely manner);
- seizure, bankruptcy or suspension of payments;
- the failure to provide requested securities.
13.2 Upon termination, any work already performed will still be invoiced.
14. Force Majeure
14.1 In the event of force majeure, Naru Core is not obliged to perform.
14.2 If force majeure lasts longer than 60 days, both parties may terminate the agreement.
15. Changes to terms and conditions
15.1 Naru Core may amend these terms and conditions.
15.2 Amendments also apply to existing agreements, provided they are announced in writing 30 days prior to their effective date.
15.3 In the event of an objection, the Client may terminate the agreement free of charge before the effective date.
16. Customization and active participation
16.1 Naru Core offers customized solutions and co-creation. The Client acknowledges that personal commitment and reflection are essential for the success of the process.
16.2 In the absence of active participation, Naru Core cannot be held responsible for the failure to achieve the desired effect.
17. Confidentiality of coaching
17.1 All information shared during coaching or strategic discussions will be treated confidentially.
17.2 Information will only be shared with third parties with explicit permission, unless legally required.
18. Use of customer material
18.1 Naru Core may use excerpts from the work for portfolios, blogs, or promotional purposes.
18.2 Confidential information and personal content will be handled with care.
19. Packages and duration
19.1 Services are offered in packages such as Basecamp, Ascent, or Summit.
19.2 Each package has a predetermined duration and delivery structure as agreed upon in the quote.
20. Flexibility in planning
20.1 Appointments can be rescheduled free of charge up to 72 hours before the start time.
20.2 For seasonal activities, rescheduling is possible in consultation.
21. Obligation to achieve results
21.1 Naru Core provides a best-efforts obligation, not a guarantee of results.
21.2 The Client remains solely responsible at all times for the implementation of insights and strategies in practice.
22. Packages and duration
22.1 All agreements are governed by Dutch law.
22.2 Disputes will preferably be resolved amicably. If this fails, they will be submitted to the competent court in the district of Naru Core.
